The Society of Operations Engineers (SOE) is holding an Extraordinary General Meeting (EGM) from the Society’s Head Office at 22 Greencoat Place London SW1P 1PR on Thursday 30 June 2022 at 11.00am (BST).

The purpose of the EGM is to allow members to vote on adopting a new set of Memorandum and Articles of Association (Mem & Arts). This is the legal document that sets out the Society’s purpose and how it is run.

The proposed changes reflect the much needed modernisation of the SOE’s Trustee Board including the standard required of our directors, the empowerment of our Professional Sectors and the re-focusing of specific roles on the Trustee Board.  We are not restructuring the SOE as a whole. We remain an organisation that is centred on our Professional Sectors. In line with current best practice and legal guidance, we have updated and shortened the Mem & Arts. This includes removing much of the detail on how the Society is governed which has crept into the Mem & Arts over the past seventeen years. This detail will now appear in the SOE’s supporting documents, principally the governance manual. 

The intent is to enable the Society to respond to future changes in government guidance, regulation, society and technology in a more agile way. Modernising the Mem & Arts will also bring us into greater alignment with the Engineering Council and Society for the Environment. Throughout the revision process, the SOE has worked closely with our respected legal partners, Mills and Reeve LLP, Constantine Law Ltd and Mr Keith Lawrey from the Foundation for Science and Technology.  This is very much about providing ourselves with a foundation for the future - a forward looking Society that is transparent in its business and provides the very best opportunity and recognition for today’s and tomorrow’s engineers.  

Eligible members will be able to vote on the following question:

  • Are you in favour of adopting the proposed Memorandum and Articles of Association? 

All corporate Members (MSOE), Fellows and Honorary Fellows of the Society (FSOE, HonFSOE) whose fees have been paid up to date are entitled to participate in the EGM. We are encouraging eligible members to participate online. If you are eligible, you will have received an email from [email protected], on 9 June, with the subject line ‘Your chance to vote in the SOE Extraordinary General Meeting 2022’. If you follow the link in the email you will be taken to a web page where you will need to click in a box to confirm that you are happy to submit a proxy vote. You must then click in one of four boxes to indicate how you are voting as seen below.
 

If you intend to vote online you need to do so by 11:00am (1100 BST) 28 June
